You have to be a sr exec or specialist with a company,

what is the clause about 5 years, does it mean you have had to have had more than 5 years in germany with that company, or is it just 5 years anywhere in the world with that company or is it just more than 5 years experience in total.

This Hochqualif. criteria is for people who are completely new in Germany, of course people with some residency can take benifit of it.
The condition regarding salary limit is to be more than double the "Beitragsbemessungsgrenze" For 2005 the Beitragsbemessungsgrenze equals 42 300 Euro, this means the exact salary limit is 84 600 Euro.
